Pursuant to the merger, Spieker Properties, Inc., the general partner in Spieker Properties, L.P., merged with and into Equity Office Properties Trust, the general partner of EOP Partnership. Previously, Spieker Properties, L.P. was engaged in the ownership and operation of office and industrial properties located in west coast markets. These markets were primarily located in Washington, Oregon, northern California, and southern California. The company was elected to be taxed as a real estate investment trust (REIT) for federal income tax purposes. As a REIT, it was not subject to corporate federal income tax on net income that it distributed to its shareholders. Spieker Properties LP operates as a subsidiary of Equity Office Properties Trust.
